This partnership agreement serves as a disclaimer to absolve Exclusively Ebony LLC and the venue of any liability arising from loss, damage, or injury to any individual(s) or product(s).

Exclusively Ebony: Your Next Event Destination
Exclusively Ebony is an event hosting company that supports small businesses. Our mission is to offer a platform for vendors with original crafts and beauty products to showcase their brand.
All applications are time stamped and work on a first come, first serve basis. However, there are two exceptions:

Please note that Exclusively Ebony has an extremely strict no refund policy. All payments and deposits are deemed non-refundable, meaning that no trades, exchanges, or subletting will be entertained. Under no circumstances will any exceptions be made, except in the event of a cancellation by Exclusively Ebony or the venue. In the case that an alternate venue or date is offered, you will have the option to transfer your funds to the rescheduled event. Please bear this in mind when making your purchase.
We are thrilled to announce our upcoming Live Virtual Event Series, exclusively available on ESNetwork. Please note that while we are excited to bring you these events, we are not responsible for any technical difficulties experienced during the live shows, such as freezing, sound or internet issues. These issues are often out of our control. To ensure a seamless event, it is up to each presenter to have the appropriate internet requirements, turn off unused devices, reboot their computer before the show, and practice ahead of time. We kindly request that you cancel no later than 36 hours before the event to avoid a $20 cancellation fee.
Our outdoor events will proceed as planned, rain or shine. For outdoor vendors, we have a strict no-refund policy in place, and we do not offer any weather allowances or refunds. In the event that we cancel an outdoor event due to inclement weather, we will issue a weather credit to your profile, which can be used towards another available event. However, a $30 fee will be charged to recoup part of the lost advertising cost and avoid reducing advertisements in upcoming events. Please note that this credit is only applicable if we cancel the event, and it does not apply to vendors who have cancelled prior to the event cancellation decision.
To ensure everyone's safety, outdoor vendors must provide their own tents (10x10/10x20 in size) with a minimum of 40-50 lbs weight disks or sandbags, as well as tables and chairs. Your tent must be white and have straight legs (if you already have a colored tent, it's acceptable, but if you're purchasing a new one, please opt for white). Weights and straight legs are mandatory to ensure safety.
It's important to note that Exclusively Ebony cannot guarantee the success of any event. Ultimately, it's up to each vendor to promote the show and encourage customers, family, and friends to attend. Before registering, we strongly encourage new vendors to attend one of our events to gauge whether it's a good fit for them.
Moreover, a vendor's success at the event is largely determined by their own efforts. It's important for each vendor to present a professional display, dress appropriately, and maintain a positive and enthusiastic outlook throughout the event.
To ensure that you are fully prepared for upcoming events, please make sure to read the instructions provided beforehand. For in-person events, you will receive a detailed setup email during the week of the event. For virtual events, such as Zoom, instructions and relevant information will be made available a few days before your assigned show time. Please note that it is your responsibility to read and fully understand these instructions, so that you can be ready when the event begins.
At Exclusively Ebony, we do offer comprehensive advertising services (including social media, flyers, radio and other platforms) to promote your business. However, it is also the responsibility of vendors to invite their customers and followers, as well as provide top-notch customer care during the event. A welcoming and professional display will also help to attract potential customers.

By participating in "Exclusively Ebony Presents" events, you agree to allow us to use your business name, pictures of your products, employees, customers, and displays in any promotional material, including but not limited to videos, newsprint, websites, and other media. If you share event photos on social media or any other public platform, we reserve the right to use and reproduce them at our discretion. Vendors acknowledge that all such items become the property of the promoter and consent to their use. Additionally, the promoter agrees that any marketing materials created, such as flyers or social media posts, may be used by the vendor to promote the events.
To ensure a smooth and successful event, please take note of the following guidelines:
At Exclusively Ebony events, it is strictly prohibited to share or sublet spaces without prior written authorization. Additionally, please do not add any products to your space that were not included in your original application or without prior authorization.
We kindly ask that all participants refrain from using profanity or displaying any political preferences, whether verbally or through printed materials. The sale of such items is strictly prohibited, as our events are family-friendly and should provide a fun environment without any conflict. Thank you for adhering to these guidelines.
Please note the following restrictions for the property and venue usage:
Audible displays or sounds are allowed within acceptable sound levels that won't disrupt neighboring booths or guests. However, the use of microphones, megaphones, bull horns, etc. is restricted solely to the show promoter or venue management.
Vendor Guidelines for Keeping Booths Tidy and Maintaining Venue Standards
To ensure that each booth remains neat and clean throughout the event, vendors must bring their own small trash cans. Please note that some venues may not provide tables, chairs, or pipes/drapes.
In order to avoid a $500 cleaning fee as per the venues, vendors must remove all materials and decorations from their booth and return the space to its original condition. This includes zip ties, empty boxes, food containers, water bottles, and other items. Any excessive trash or stains left behind may result in the aforementioned fee.
Vendors are prohibited from dismantling or removing their booth exhibit before the close of the show. Failure to comply with this rule may prevent future participation in Exclusively Ebony events. Additionally, any paid future spaces will be forfeited without refund and become the property of Exclusively Ebony.
At our market, we strive to provide an exceptional shopping experience for all customers. To uphold this standard, we require vendors to adhere to the following guidelines:
If you're intending to sell food or offer samples, including dips, it's crucial to have all the necessary permits and documentation. A health permit, cottage license, TFE, business license, and insurance are all prerequisites. In some cases, you may require a sampler's permit. Additionally, it is your responsibility to provide any items that the health department may require, such as water containers or coolers. For further details, please contact snhd.info.
Please upload all necessary documents to your vendor portal account (under "documents") and have them with you during the event.
Please note that it is strictly prohibited to distribute homemade food without a cottage license, even as a gift.Moreover, a vendor's success at the event is largely determined by their own efforts. It's important for each vendor to present a professional display, dress appropriately, and maintain a positive and enthusiastic outlook throughout the event.
Please note that all property brought by the vendor to the show is solely at their risk. Exclusively Ebony will not assume responsibility for any loss or damage that may occur. It is the responsibility of the vendors to obtain their own general liability insurance coverage for the event.
The vendor is responsible for all knowledge of laws, regulations, or ordinances pertaining to public safety and their business while participating in the event. Compliance is mandatory and the sole responsibility of the vendor.
During an event, vendors are solely responsible for adhering to all laws, regulations, and ordinances concerning public safety in relation to their business. It is mandatory to comply with these guidelines.
To ensure the safety of all attendees, please adhere to the following guidelines when using electricity and setting up your booth:
For unloading and set-up, it is important that vehicles used for these purposes are removed from the loading area as quickly as possible to prevent traffic obstruction, blockage of fire zones, or delays. A detailed email will be sent the week of the event, which will provide information on when, where, and how to unload. Please note that outdoor vendors will not be allowed to park at their designated sites. Additionally, some vendors may not be able to pull up to their sites for unloading, but we will do our best to get you as close as possible. As outlined in the set-up email, all vendors are required to park in the designated parking spaces, which will be provided the week of the event.
All vendors participating in our events must submit a sales tax form each day, regardless of the type of goods or services they offer. This is a legal obligation that must be fulfilled by all vendors.
At the beginning of each event, every vendor will receive a tax form. For multi-day events, this form will be issued on the final day. It is of utmost importance that all vendors complete and submit their tax form after the conclusion of the show, before leaving the venue.
Important Information for Vendors Participating in City of Las Vegas Events
Exhibitor/Vendor Agreement
The exhibitor/vendor acknowledges the potential risks associated with the use of the exhibit space and surrounding areas. By participating in the show, the exhibitor agrees not to hold Exclusively Ebony, show sponsors, or the facility liable for any damage, loss, or injury to the exhibitor, its officers, employees, or agents.
The exhibitor is responsible for indemnifying and holding Exclusively Ebony, show sponsors, and the facility harmless against any claims, costs, and charges resulting from their occupancy of the exhibit space or surrounding areas. This includes personal injuries, death, property damages, or any other damages sustained by the exhibitor/vendor or its officers, agents, employees, or those for whom they are responsible.

Rules and Regulations:
As a vendor, you must acknowledge that you have read the rules and regulations and agree to abide by them. You must also certify that all information provided in your application is accurate and true, including signatures.
Exclusively Ebony LLC reserves the right to modify, alter, or revise the rules and regulations without notice, as deemed necessary.
